# Terms of Service

## 1. Agreement to Terms

By accessing or using Notra ("the Service"), operated by Notra, Inc. ("Notra", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service includes the website at usenotra.com and the dashboard application at app.usenotra.com.

## 2. Age Restriction

You must be at least 13 years old to use the Service. If you are under 13, you are not permitted to create an account or use the Service in any way. If you are a resident of the European Union, you must be at least 16 years old to consent to the processing of your personal data.

## 3. Subscription and Payment

Notra offers both free and paid subscription plans. Paid subscriptions are billed on a recurring basis (monthly or annually) through our billing provider [Autumn](https://useautumn.com) (powered by Stripe).

When you sign up, we create an Autumn customer profile to enable usage tracking. If you later initiate a payment and a Stripe customer does not already exist, we may create one to process the transaction.

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. Prices are subject to change, but we will notify you of any price changes before they take effect.

You are responsible for providing accurate and up-to-date payment information.

## 4. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the paid features until the end of your current billing period. No refunds will be issued for partial billing periods.

If you believe you have been charged in error, please contact us at dominik@usenotra.com within 14 days of the charge.

## 5. Right of Withdrawal

If you are a consumer residing in the European Union, European Economic Area, or another jurisdiction that provides a statutory right of withdrawal, you may have the right to withdraw from a paid subscription within 14 days of entering into the contract, unless an exception applies.

To exercise this right, you must send a clear written notice to dominik@usenotra.com before the withdrawal period expires. If a valid withdrawal request is accepted, we will refund eligible subscription fees using the original payment method within 14 days of receiving your notice.

By starting to use paid features, generating content, running automations, connecting integrations for content generation, or otherwise consuming AI credits or AI-powered functionality during the withdrawal period, you expressly request that we begin providing the Service immediately and acknowledge that you lose any statutory withdrawal right for the digital content, digital services, AI usage, consumed credits, generated outputs, and related processing already provided.

AI credits are consumed immediately when AI-powered processing begins. Once used, AI credits cannot be refunded, restored, credited back, reversed, or otherwise returned under any circumstances. This includes credits used for generated content, failed or partial generations, automations, connected integrations, and any other AI-powered processing.

## 6. Account Security

You are responsible for maintaining the confidentiality and security of your account, login credentials, API keys, connected integrations, and any activity that occurs under your account.

You must promptly notify us at dominik@usenotra.com if you become aware of any unauthorized access, credential compromise, security breach, or suspected misuse of your account.

## 7. Acceptable Use

You may use the Service only in accordance with these Terms, applicable law, and the intended functionality of the Service.

You may not:

- Use the Service for unlawful, harmful, deceptive, abusive, or infringing purposes
- Interfere with, disrupt, overload, degrade, or attempt to gain unauthorized access to the Service or related systems
- Introduce malware, malicious code, vulnerabilities, or harmful data into the Service
- Scrape, harvest, crawl, or extract data from the Service except through documented functionality or APIs we make available
- Reverse engineer, copy, modify, resell, sublicense, or exploit any part of the Service except as expressly permitted by us
- Bypass usage limits, access controls, billing controls, security measures, or technical restrictions
- Use the Service to generate, publish, or distribute content that violates third-party rights or applicable law
- Misrepresent your identity, affiliation, authorization, or ownership of connected accounts or data

We may suspend or terminate access to the Service if we reasonably believe your use violates these Terms, creates risk for us or others, or could harm the Service.

## 8. API Usage

Any use of Notra APIs, API keys, developer tools, integrations, or automated access methods is subject to these Terms.

You are responsible for all activity using your API keys or developer credentials, including activity by your employees, contractors, agents, applications, or third-party tools. You must keep API keys confidential and may not share them publicly.

We may apply, change, or enforce rate limits, usage limits, authentication requirements, security controls, or other technical restrictions at any time. We may suspend or revoke API access if we reasonably believe API usage violates these Terms, threatens the Service, or creates security, legal, billing, or operational risk.

## 9. Third-Party Services

The Service may connect to, depend on, or interoperate with third-party services, including GitHub, Linear, Slack, Stripe, Autumn, Resend, AI providers, hosting providers, analytics providers, and other integrations you choose to connect.

Your use of third-party services is governed by their own terms and policies. We are not responsible for third-party services, their availability, their security, their content, their handling of data, or any changes they make to their services or APIs.

You represent that you have the necessary rights and permissions to connect third-party accounts, authorize access to their data, and use that data with the Service.

## 10. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Notra, Inc. and is protected by applicable copyright, trademark, and other intellectual property laws.

You retain full ownership of any content you create or upload through the Service. Content generated by the AI features of the Service is owned by you upon generation.

## 11. User Representations

By using the Service, you represent and warrant that:

- You have the legal capacity to agree to these Terms
- You will not use the Service for any unlawful purpose
- You will not attempt to gain unauthorized access to any part of the Service
- You will not use the Service to transmit harmful code or malicious content
- The information you provide during registration is accurate and complete
- You have the right to connect any third-party accounts and authorize access to their data

## 12. Content Generation and Data Usage

Notra uses artificial intelligence to generate content based on data from your connected integrations (such as GitHub, Linear, and Slack). By connecting these integrations, you grant us a limited license to access, process, and analyze the data from those services solely for the purpose of generating content on your behalf.

We do not use your connected data to train AI models. Your data is processed in real-time and used exclusively to generate content for your account.

You are responsible for reviewing all AI-generated content before publishing. We do not guarantee the accuracy, completeness, or appropriateness of any generated content.

## 13. Email Delivery

We send account and service-related emails using [Resend](https://resend.com). These emails may include verification, security notices, billing updates, and product communications required to operate the Service. Marketing emails are opt-in only, and you can unsubscribe using the link in the footer of each marketing email.

## 14. Warranty Disclaimer

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee any specific level of uptime or availability.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

## 15. Products and Services

The features, functionality, and pricing of the Service are subject to change at any time. We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

## 16. Contribution License

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, royalty-free license to use, implement, and incorporate that feedback in any way we see fit, without obligation to you.

## 17. Term and Termination

These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access to the Service at any time, for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. You may request deletion of your account and associated data by contacting us at dominik@usenotra.com.

## 18. Modifications and Interruptions

We reserve the right to change, modify, or remove any part of these Terms at any time. When we make material changes, we will update the "Last updated" date and may notify you through the Service or via email.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.

The Service may experience interruptions due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or inconvenience caused by downtime.

## 19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration administered by the International Chamber of Commerce (ICC), with the seat of arbitration in Hamburg, Germany.

Nothing in these Terms limits any mandatory consumer protection rights that cannot be waived under applicable law.

## 20. Disclaimer and Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Notra, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

- Your use of or inability to use the Service
- Any unauthorized access to or use of our servers and any personal information stored therein
- Any errors, mistakes, or inaccuracies of content generated by the Service
- Any interruption or cessation of transmission to or from the Service

Our total aggregate liability for all claims arising from or relating to these Terms or the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

## 21. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Notra, Inc. and its officers, directors, employees, contractors, agents, affiliates, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:

- Your use or misuse of the Service
- Your violation of these Terms or applicable law
- Your content, generated content, connected integrations, or submitted data
- Your violation of any third-party rights
- Activity under your account, API keys, or credentials

## 22. Miscellaneous

**Severability:** If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

**Assignment:** We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.

**Waiver:** Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

**Entire Agreement:** These Terms, together with our Privacy Policy and our Data Processing Addendum where applicable, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
